Scripts2Screen Terms, Policies, and Conditions January 2025 1. General Disclaimer Scripts2Screen is a creative and production development service that provides budgeting, scheduling, pitch materials, project positioning, and artistic design work for clients within the film, television, and media industries. Scripts2Screen operates as a speculative service provider, utilizing industry knowledge, proprietary methodologies, and experience-based tools to assist clients in strategizing, preparing, and positioning their projects for potential investment, production, and distribution. ⚠️ Scripts2Screen is NOT a financial institution, investment firm, legal service, or certified accounting provider. We do not provide legal, financial, tax, or investment advice. Any data, estimates, or projections provided are based on industry metrics, historical trends, and proprietary algorithms but should be considered informed predictions, not guarantees. Scripts2Screen does not fund, finance, or broker deals directly but offers strategic insight and presentation tools to aid clients in navigating the industry. By engaging in any services provided by Scripts2Screen, the client acknowledges and agrees that all advice, materials, and consultations are provided for informational and strategic planning purposes only and should be independently verified through legal, financial, and professional channels. 2. Work-for-Hire Agreement & Intellectual Property (IP) Rights Scripts2Screen operates under a Work-for-Hire agreement, meaning: ✔️ Clients own the final deliverables upon full payment. ✔️ Scripts2Screen retains credit rights for any creative work provided. ✔️ Scripts2Screen retains a copy of its work for internal reference and archival purposes. However, ownership and reuse of work are subject to the following: 2.1 Retention & Credit for Creative Work Any artistic or creative assets (visual, written, design elements) developed by Scripts2Screen remain credited to Scripts2Screen or its contracted creatives. Scripts2Screen may not resell or reuse identical work for another client in the same genre or project category if it has been fully paid for and is exclusive to the original purchaser. Scripts2Screen may, however, reuse similar techniques, structures, or methodologies in other projects, provided they are not direct duplicates of paid-for deliverables. Clients may not resell or redistribute Scripts2Screen-created materials outside their own project without explicit permission. 2.2 Math, Data, and Financial Models as Proprietary IP Any financial analysis, budgeting structures, mathematical calculations, or investment projections built specifically for a client are the sole property of that client. Scripts2Screen does not retain or reuse financial data from previous clients for other projects. All private budgetary data, investor strategies, or proprietary project information are confidential and belong solely to the purchasing client. 3. Non-Disclosure & Confidentiality Agreement All work created by Scripts2Screen is covered by a Non-Disclosure Agreement (NDA), ensuring that project details, concepts, and financial data remain confidential. Scripts2Screen will not showcase client work publicly, including in portfolios or promotional materials, without written permission. Scripts2Screen is not responsible for third-party leaks, client disclosures, or any unintended breaches of confidentiality outside of our control. 4. Payment, Refund, and Cancellation Policy 4.1 Payment Terms Each service requires a deposit before work begins, followed by a structured payment schedule outlined in individual service agreements. Final materials will only be released once full payment is received. 4.2 Refund & Cancellation Policy All deposits are non-refundable. If a client cancels after work has begun, all payments made up to that point are non-refundable. If full payment is not completed within 30-60 days (depending on service), work will be archived and require a reactivation fee to continue. Scripts2Screen reserves the right to refuse service to any client at its discretion. 5. Industry Disclaimer: No Guarantees on Success While Scripts2Screen provides high-quality industry tools and strategic insights, the success of any film, television, or media project depends on multiple factors outside our control, including market conditions, investor interest, and production execution. ⚠️ Scripts2Screen does NOT guarantee: ❌ That any project will receive funding, studio backing, or distribution. ❌ That any budget estimates or financial projections will reflect final costs. ❌ That any materials provided will result in a greenlight or investment. Clients should use Scripts2Screen’s services as one component of their overall development strategy and are encouraged to seek independent legal, financial, and industry guidance. 6. Work Retention & Delivery Terms All final deliverables (budgets, pitch decks, marketing materials, etc.) will only be provided once full payment is received. If a client fails to complete payment, Scripts2Screen retains all rights to the work until the balance is cleared. If payment is delayed by more than 60 days, a reactivation fee will be required to resume work. Minor revisions (one round) are included in most services, but additional edits may require an extra fee. 7. Limitation of Liability Scripts2Screen is not responsible for any financial loss, legal dispute, or project failure that may arise from the use of its services. Decisions made by clients, investors, studios, or other third parties are outside our control. Any errors, miscalculations, or unforeseen issues related to budgeting, scheduling, or project planning must be verified independently by the client. Scripts2Screen is not liable for the success or failure of any project based on materials provided. By using Scripts2Screen’s services, clients waive any claims of liability against Scripts2Screen for outcomes related to their projects. 8. Acknowledgment & Agreement By engaging with Scripts2Screen, clients confirm that they have read, understood, and agreed to the terms outlined in this policy.
